GOBLIX Rider Terms of Service

Version 1.0 · Effective 14 October 2026

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Rider") and Matter Motor Works Private Limited, a company incorporated under the Companies Act, 2013, CIN U34300GJ2019PTC105854, registered office at 301, Parishram Building, 5B Rashmi Society, Near Mithakhali Six Roads, Navrangpura, Ahmedabad, Gujarat – 380009 ("Matter", "we", "us"). Matter operates the GOBLIX rider app and electric two-wheeler rental service under the brand "GOBLIX" (the "Service"). The app is hosted for us by our technology provider FleetOS.

You accept these Terms by ticking the acceptance box when you register. We record the version you accepted, with the date and time, against your account. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle your personal data.

1. Eligibility

1.1.

You must be at least 18 years old and hold a valid driving licence for a motorcycle with gear (MCWG), or for the class of vehicle you rent.

1.2.

Your licence must stay valid for the whole rental. You must tell us immediately if it is suspended, cancelled or expires. We will then end your rental under clause 13.

1.3.

You confirm that all information and documents you give us are true, current and your own.

2. Account and Identity Verification (KYC)

2.1.

You must register with a mobile number verified by one-time password (OTP).

2.2.

You must complete identity verification by providing the KYC documents requested in the app, which will include a valid government-issued photo ID, your driving licence and a live selfie. Aadhaar is not mandatory if you provide another accepted photo ID. If you choose to provide Aadhaar, we will accept only a masked copy or DigiLocker verification, and we will not store your full Aadhaar number.

2.3.

We may refuse, suspend or re-verify an account if documents cannot be verified, appear altered, do not match, or have expired. We may ask you to re-verify at renewal.

2.4.

You must keep your account and OTPs confidential. You are responsible for all activity on your account until you report unauthorised use to us.

3. The Service

3.1.

We rent electric two-wheelers to verified Riders on fixed-duration plans. Pickup and return are at our designated hub unless the booking confirmation states otherwise.

3.2.

Vehicles, plans and prices shown in the app may vary by location and over time. The price, deposit and charges confirmed for your booking stay fixed for that plan period.

3.3.

Plans are for personal use only. You may not use the vehicle for paid delivery, ride-hailing or other commercial use unless your plan expressly permits it.

4. Booking

4.1.

A booking request reserves a vehicle for you until payment is confirmed or the request is rejected. If we reject it, we will refund any amount you paid within 7 working days.

4.2.

A booking is active, and the vehicle released to you, only after we confirm payment and complete the check-out under clause 9.1.

5. Payments and Invoices

5.1.

You pay the rental, deposit and any onboarding charge by UPI QR code or payment link that we share with you.

5.2.

Pay only to a UPI ID or payment link in the name of Matter Motor Works Private Limited. Payment to any employee, agent or other account is not payment to us, and we are not responsible for it. Report any request to pay elsewhere to the Grievance Officer.

5.3.

Prices shown in the app include GST. We will issue a tax invoice or receipt for every payment, available in the app.

6. Security Deposit

6.1.

Your plan may require a refundable, interest-free security deposit. It is held as security for your performance of these Terms. It covers damage, unpaid rental, challans and other amounts you owe under these Terms.

6.2.

We will refund the deposit within 7 working days of the vehicle's return and settlement of your rental. With the refund we will send an itemised statement of any deductions, supported by check-in photographs and the applicable rate card or workshop estimate.

6.3.

You may dispute any deduction within 7 days of the statement by writing to the Grievance Officer with your reasons and evidence. We will refund the undisputed amount without waiting for the dispute to be resolved, and will respond to the dispute within 15 days.

6.4.

If deductions exceed your deposit, you must pay the shortfall within 7 days of our statement. Unpaid amounts remain recoverable as a debt.

6.5.

A challan issued for your rental period that reaches us after your deposit is refunded remains payable by you under clause 9.5.

7. Rental Period, Renewal and Overdue Rentals

7.1.

Your rental runs for the plan period you booked. To continue, you must renew and pay before the period ends.

7.2.

If you neither renew nor return the vehicle by the end of the period, you have a grace period of 24 hours. After that, the daily overdue charge shown in your booking confirmation applies until the vehicle is returned. The parties agree this is a genuine pre-estimate of our loss of rental income and is not a penalty.

7.3.

If the vehicle is still not returned 48 hours after the period ends, we may: (a) send you notice through the app, SMS or WhatsApp; (b) immobilise the vehicle under clause 8.3; (c) recover the vehicle under clause 10.3; (d) suspend your account; and (e) recover all dues, including from your deposit.

8. Vehicle Use, Telematics and Charging

8.1.

Rider obligations. You must:

  • be the only person who rides the vehicle, and not lend, sub-rent or hand it over to anyone;
  • carry your driving licence and the vehicle documents provided, and obey all traffic laws;
  • wear an ISI-marked helmet and ensure any pillion rider does the same;
  • not ride under the influence of alcohol or drugs;
  • not use the vehicle for racing, stunts, towing, off-road use, carrying more than one pillion or loads beyond rated capacity, or any unlawful purpose;
  • not modify, open, tamper with or remove the vehicle, battery, telematics unit or any fitted equipment;
  • charge only with the charger supplied or an approved charging point; you are liable for damage caused by other chargers;
  • park the vehicle lawfully and lock it when unattended; and
  • take the care of the vehicle that a person of ordinary prudence would take of their own property.
8.2.

Telematics. Each vehicle has a connected device that records its location, speed, battery status, distance and riding events. You agree that we may use this data to locate and secure the vehicle, respond to breakdowns, investigate accidents, theft or misuse, and calculate charges, as set out in the Privacy Policy.

8.3.

Remote immobilisation. We may remotely immobilise the vehicle if: (a) it is reported stolen; (b) it is overdue under clause 7.3; or (c) it is being used in a way that creates a serious risk to safety. Except where the vehicle is reported stolen, we will notify you in the app before doing so. We will only immobilise the vehicle when it is stationary.

9. Check-out, Check-in, Damage and Challans

9.1.

Check-out. At pickup, we and you will record the vehicle's condition, odometer and battery level with timestamped photographs in the app. You must report any defect you notice before riding. We will not hand over a vehicle that is not roadworthy.

9.2.

Check-in. At return, we will inspect the vehicle in your presence where you are available, and record its condition with timestamped photographs.

9.3.

Damage charges. You are liable for loss of or damage to the vehicle during your rental, beyond ordinary wear and tear. Charges are based on our published damage rate card (available in the app) or, for items not listed, the estimate of an authorised Matter service centre. You may dispute charges under clause 6.3.

9.4.

Insurance cap. The vehicle is insured as required by law. Where an insurance claim is available and you comply with clause 9.6, your liability for damage to or theft of the vehicle is limited to the deductible (excess) under our insurance policy, as stated in your booking confirmation, and any amount the insurer refuses to pay because of your act or omission. This limit does not apply, and you are liable for the full loss, if the loss arises from: riding without a valid licence; riding under the influence; a person other than you riding the vehicle; use prohibited by clause 8.1 or 12; or your failure to report or cooperate under clause 9.6.

9.5.

Challans. You are responsible for every traffic challan, fine, toll or parking charge relating to the vehicle during your rental. You authorise us to give your name, licence and contact details to traffic and police authorities as the person in charge of the vehicle, as the registered owner is required to do under the Motor Vehicles Act, 1988. We may charge you the challan amount plus a processing fee of INR 1,000/- per challan.

9.6.

Accidents, breakdown and theft. You must: (a) report any accident, breakdown, damage or theft to us within 2 hours, or as soon as safely possible; (b) for theft, or an accident involving injury or third-party damage, lodge a police complaint or FIR within 24 hours and share a copy with us; (c) not admit liability or settle with any third party without our consent; and (d) cooperate fully with us and our insurer in any claim.

10. Return of the Vehicle

10.1.

You must return the vehicle, its key or digital access, charger and accessories to the designated hub by the end of your rental, in the condition recorded at check-out, ordinary wear and tear excepted.

10.2.

You may return the vehicle early at any time. Any refund for unused days is governed by clause 11.

10.3.

If you do not return the vehicle as required by clause 7.3, you authorise us and our authorised agents to recover it from any public place, or any place where it is found. We will carry out recovery peacefully and without force, threat or intimidation. Reasonable recovery costs shall be payable by you.

11. Cancellations and Refunds

11.1.

You may cancel a pending booking at any time before payment is confirmed, at no charge.

11.2.

If you cancel after payment is confirmed but before pickup, we will refund the rental paid, less the cancellation fee shown in the app at the time of booking, within 7 working days.

11.3.

If you end an active rental early, we will refund the rental for any unused full days, less the early-termination fee shown in the app at the time of booking, within 7 working days. Onboarding charges are not refundable once the vehicle has been handed over.

11.4.

If we cancel a booking or end a rental for reasons other than your breach, we will refund the rental for the unused period in full.

12. Prohibited Conduct

You must not: (a) use the vehicle to commit, facilitate or conceal any unlawful act; (b) give false, forged or another person's information or documents; (c) disable, bypass or interfere with any safety, telematics or security feature; (d) damage, disrupt or misuse the app or another Rider's use of it; or (e) attempt unauthorised access to any account, system or data of the Service.

13. Suspension and Termination

13.1.

We may suspend your account or end your rental immediately, with notice in the app as soon as practicable, if: (a) your licence is invalid, suspended or expired; (b) you gave false or forged information; (c) any amount is overdue under clause 7; (d) you breach clause 8.1 or 12 in a way that endangers safety or the vehicle; or (e) we are required to do so by law or an authority.

13.2.

For any other breach, we will give you notice and 48 hours to remedy it before suspending or ending your rental.

13.3.

You may end your rental at any time by returning the vehicle under clause 10.

13.4.

On termination, you must return the vehicle within 24 hours and settle all dues. Clauses 6, 7.2, 9, 10.3, 15, 16, 19 and 21 survive termination.

14. Our Commitments and Disclaimers

14.1.

We will provide vehicles that are roadworthy, serviced, registered, insured and fit for ordinary road use at handover. We will repair or replace a vehicle that develops a fault not caused by you, at no cost to you, and extend your plan for any period you lose as a result.

14.2.

We do not guarantee that a particular vehicle, plan, location or app feature will always be available, or that the app will be uninterrupted.

15. Limitation of Liability

15.1.

We are not liable for indirect or consequential loss, including loss of income or opportunity.

15.2.

Our total liability to you for any claim relating to the Service is limited to the rental fees you paid in the 3 months before the claim arose.

15.3.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited under applicable law. We are not liable for injury or loss caused by your own breach of traffic law or these Terms.

16. Indemnity

You will indemnify us against any claim, loss, fine, penalty or reasonable expense, including claims by third parties for injury or property damage, to the extent caused by: (a) your breach of these Terms; (b) your negligent or unlawful use of the vehicle; or (c) any person riding the vehicle in breach of clause 8.1.

17. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemic, government action, civil unrest, or failure of power, network or payment systems. This does not excuse your obligation to pay for, or return, the vehicle.

18. Communications

You agree that we may contact you by app notification, SMS, WhatsApp, email and phone about your account, bookings, payments, dues and safety. We will send promotional messages only if you opt in, and you may opt out at any time. Calls with our support team may be recorded for quality and dispute resolution, and we will tell you at the start of the call.

19. Grievance Redressal and Disputes

19.1.

19.2.

We will acknowledge your grievance within 48 hours and resolve it within one month of receipt.

19.3.

If a dispute is not resolved through 19.2, either party may refer it to mediation under the Mediation Act, 2023 before starting court proceedings.

19.4.

These Terms are governed by the laws of India. Subject to clause 19.5, the courts at New Delhi have exclusive jurisdiction.

19.5.

Nothing in these Terms affects your right to approach a Consumer Commission under the Consumer Protection Act, 2019, including where you live or work.

20. Changes to these Terms

20.1.

We may update these Terms. We will give you at least 7 days' notice of material changes through the app.

20.2.

Changes will not apply to a plan period you have already paid for. If you do not accept the changes, you may end your rental under clause 13.3 without any cancellation fee.

21. General

Entire agreement. These Terms, your booking confirmation and the Privacy Policy are the entire agreement between us about the Service.
